Welcome to RUO Cap ("RUO Cap," "we," "our," or "us"). These Terms & Conditions ("Terms") govern your access to and use of our website, applicant portal, products, services, and funding application platform.

By accessing this website, creating an account, submitting an application, purchasing a program, or otherwise using our services, you agree to be legally bound by these Terms. If you do not agree with these Terms, you should not use our website or services.

1. About RUO Cap

RUO Cap is a capital access and funding solutions company that assists qualified businesses and individuals in identifying financing opportunities through a network of participating lending partners.

  • RUO Cap is not a bank, lender, finance company, or credit provider.
  • We do not make lending decisions, underwrite loans, approve financing, or guarantee that any applicant will receive funding.
  • All financing decisions are made solely by independent third-party lending institutions.

2. Eligibility

By using our services, you represent that:

  • You are at least 18 years of age.
  • You have the legal authority to enter into binding agreements.
  • Any business application is submitted by an owner or an authorized representative.
  • All information you provide is accurate, complete, and truthful.
  • You will promptly update any materially inaccurate information.

Providing false, misleading, or fraudulent information may result in denial of service, cancellation of your application, or referral to appropriate authorities where permitted by law.

3. Our Services

RUO Cap may provide services including:

  • Funding qualification review
  • Capital strategy consultation
  • Application assistance
  • Lender matching
  • Preparation of underwriting packages
  • Submission to participating lenders
  • Applicant support
  • Status updates
  • Communication with lending partners

Our role is advisory and facilitative. We do not control lender underwriting guidelines or funding decisions.

4. No Guarantee of Financing

Submitting an application does not guarantee:

  • Approval
  • Any minimum funding amount
  • Specific loan terms
  • Interest rates
  • Repayment terms
  • Funding timelines
  • Lender participation

Funding decisions depend upon numerous factors determined solely by participating lenders. Any estimated funding amounts presented by RUO Cap are informational estimates only and should not be interpreted as commitments or offers of credit.

5. Applicant Responsibilities

Applicants agree to:

  • Provide truthful information.
  • Submit authentic documentation.
  • Respond promptly to requests for additional information.
  • Cooperate during underwriting.
  • Notify RUO Cap of material changes affecting eligibility.

Applicants remain solely responsible for reviewing and accepting any financing agreement offered by a lender. RUO Cap is not a party to any financing agreement between an applicant and a lender.

6. Capital Access Program

Applicants who choose the Capital Access Program agree to pay the published program fee before submission to participating lenders.

The Capital Access Program includes services such as:

  • Qualification review
  • Funding strategy consultation
  • Application preparation
  • Lender matching
  • Coordination with participating lenders
  • Ongoing communication during underwriting

Unless otherwise stated in writing, the Capital Access Program fee is 100% refundable if your application is not approved by any participating lending partner after completing the underwriting process, subject to verification that the applicant:

  • submitted truthful and complete information,
  • cooperated with reasonable documentation requests,
  • did not voluntarily withdraw the application before underwriting was completed,
  • did not become ineligible due to actions occurring after submission.

Refund eligibility does not apply if an applicant knowingly provides false information, abandons the application process, declines to provide requested documentation, or otherwise prevents completion of underwriting.

7. Performance Program

Applicants selecting the Performance Program agree that:

  • No upfront program fee is required.
  • A success-based fee (6%) becomes due only if financing is successfully obtained through RUO Cap's services.
  • The applicable fee percentage will be disclosed before final submission.
  • Payment of the success fee is required in accordance with the executed Performance Program Agreement.

8. Lending Partner Fees

Participating lenders may charge fees including, but not limited to:

  • Origination fees
  • Closing costs
  • Administrative fees
  • Interest charges
  • Other financing-related costs

These fees are independent of any RUO Cap program fee and are determined solely by the lender. RUO Cap is not responsible for lender pricing, underwriting criteria, or financing terms.

9. Credit Inquiries

Some funding programs may not require a hard credit inquiry during initial qualification. However, participating lenders may request or perform credit reviews as part of underwriting. RUO Cap does not control lender credit review practices. Applicants are responsible for reviewing lender disclosures before accepting financing.

10. Applicant Portal

Users creating an Applicant Portal account agree to:

  • Maintain the confidentiality of login credentials.
  • Notify RUO Cap immediately of unauthorized account activity.
  • Accept responsibility for all activity occurring under their account.
  • Use the portal only for lawful purposes.

RUO Cap may suspend or terminate accounts that violate these Terms or compromise platform security.

11. Communications Consent

By submitting your information, you authorize RUO Cap to contact you regarding your application through:

  • Email
  • Telephone
  • SMS/Text Message
  • Applicant Portal notifications

These communications may include application updates, requests for documentation, underwriting notifications, approvals, denials, funding updates, and administrative messages. Consent to receive these communications is not a condition of obtaining financing.

12. Intellectual Property

All website content, including but not limited to logos, branding, graphics, software, website design, text, icons, databases, documents, and layouts, is owned by or licensed to RUO Cap and is protected by applicable intellectual property laws. No content may be copied, reproduced, modified, distributed, or exploited without prior written permission.

13. Acceptable Use

You agree not to:

  • Submit false information.
  • Upload malicious software.
  • Attempt unauthorized access.
  • Interfere with website operations.
  • Reverse engineer website functionality.
  • Impersonate another individual.
  • Violate applicable laws.
  • Use automated systems to scrape or harvest website content.

RUO Cap reserves the right to suspend or terminate access for violations.

14. Third-Party Services

Our website may utilize third-party providers including:

  • Payment processors
  • Cloud hosting providers
  • Analytics providers
  • Email providers
  • SMS providers
  • Identity verification services
  • Participating lending partners

RUO Cap is not responsible for the independent practices or services of third parties.

15. Disclaimer of Warranties

Our website and services are provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, RUO Cap disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and reliability. We do not warrant uninterrupted access or error-free operation.

16. Limitation of Liability

To the fullest extent permitted by law, RUO Cap shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to financing decisions, loan denials, funding delays, lost profits, business interruption, data loss, third-party lender actions, website interruptions, or technical errors.

To the maximum extent permitted by law, RUO Cap's total aggregate liability arising out of or relating to these Terms or our services shall not exceed the total amount of fees paid directly to RUO Cap by the applicant during the twelve (12) months preceding the event giving rise to the claim.

17. Indemnification

You agree to defend, indemnify, and hold harmless RUO Cap, its owners, employees, contractors, affiliates, and partners from any claims, liabilities, damages, losses, costs, or expenses arising from:

  • Your use of our services.
  • Your violation of these Terms.
  • False or misleading information you submit.
  • Your violation of applicable law.
  • Any dispute between you and a participating lender.

18. Privacy

Your use of the website is also governed by our Privacy Policy, which describes how we collect, use, protect, and disclose information.

19. Changes to These Terms

RUO Cap may modify these Terms at any time. Updated versions become effective upon posting to the website. Your continued use of our services after changes are posted constitutes acceptance of the revised Terms.

20. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of California, without regard to conflict of law principles. Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in California, and you consent to the jurisdiction of those courts.

21. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

22. Entire Agreement

These Terms, together with our Privacy Policy and any separate program agreements executed between RUO Cap and an applicant, constitute the entire agreement governing your use of our website and services.
